PeerLS Terms of Service (TOS)

1. Acceptance of Terms

By creating a PeerLS account, clicking "I agree," or using any PeerLS website, mobile or desktop application, browser extension, or related service (collectively, the "Platform"), you ("User") agree to these Terms of Service ("TOS"). If you do not accept every provision, do not use the Platform.

2. What PeerLS Is —and Is Not

  • 2.1 Technology Facilitator. PeerLS provides software that lets Users collect, organize, and act on real-estate information.
  • 2.2 Not a Brokerage or Agent. PeerLS is not a real-estate broker, agent, MLS participant, lawyer, or financial advisor, and it performs no activity that requires real-estate licensure.
  • 2.3 No Professional Advice. All content is informational. Users should obtain independent legal, financial, or real-estate advice before binding decisions.

3. User Eligibility & Accounts

Users must be 18 or older and capable of forming legally binding contracts. You are responsible for all activity under your credentials and for keeping login data secure.

4. How PeerLS Handles Data

  • 4.1 Local Data Capture. Any portal photos or remarks displayed inside the Platform are fetched on the User's own device via the PeerLS mobile/desktop app or browser extension and never stored on PeerLS servers.
  • 4.2 Server-Side Storage. PeerLS servers store only:
    • public-record data licensed from third-party vendors (e.g., tax roll, AVM);
    • uncopyrightable facts the User approves (price, beds, baths, URL);
    • User-generated notes, tasks, and files.
  • 4.3 Background Refresh Consent. When the User enables "Background Refresh," the app/extension will revisit saved-search pages no more than once per 24 hours while the device is active, mimicking ordinary browsing. Users may disable this at any time.

5. User Responsibilities

Users agree to:

  1. provide accurate profile information;
  2. comply with all applicable laws;
  3. verify all property data independently;
  4. seek professional advice when necessary;
  5. use the Platform only for lawful, personal purposes.

6. Fees and Fee Waivers

  • 6.1 Transaction Fee. PeerLS may charge a success fee at closing, disclosed before any binding commitment.
  • 6.2 Waiver Option. A User may waive certain Platform fees by completing in-app actions, such as sharing a PeerLS-generated property card to approved social-media channels. The waiver amount and required actions are displayed in the waiver screen and may change from time to time.

7. Optional Action Agreements

If the User opts to link social-media or e-mail accounts, the User authorizes PeerLS to post or send listing previews or referral codes only when the User clicks "Share." PeerLS will not post or message without an explicit per-share confirmation.

8. Intellectual Property

All Platform software, logos, and content (other than User-provided material or public-record data) are the property of PeerLS or its licensors. No license is granted except as necessary for normal Platform use.

9. User-Generated Content

Users retain ownership of content they upload but grant PeerLS a worldwide, royalty-free, perpetual license to display, host, index, and use that content in connection with the Platform. Users represent they have rights to all content they submit.

10. Prohibited Conduct

Users shall not:

  1. misrepresent identity or qualifications;
  2. use bots or scripts that access third-party portals from PeerLS servers;
  3. upload malicious code or interfere with Platform security;
  4. violate any law or third-party right.

11. Disclaimers

The Platform is provided "as is." PeerLS disclaims all warranties. PeerLS is not liable for indirect, incidental, or consequential damages arising from Platform use.

12. Indemnification

Users will indemnify and hold harmless PeerLS and its affiliates from all claims arising out of User content, actions, or breaches of this TOS.

13. Termination

PeerLS may suspend or terminate any account for violation of this TOS or misuse of the Platform. Users remain liable for fees incurred before termination.

14. Updates to Terms

PeerLS may revise these Terms. Material changes take effect 30 days after notice via e-mail or Platform banner. Continued use after that date constitutes acceptance.

15. Governing Law and Venue

This Agreement is governed by and construed in accordance with the laws of the State of Florida, U.S.A., without regard to its conflict-of-law rules, except that if you are a resident of Virginia, the laws of the Commonwealth of Virginia will also apply to the extent Virginia consumer-protection statutes cannot be waived by contract.

Any suit, action, or proceeding arising out of or relating to the Platform shall be brought exclusively in the state or federal courts located in Norfolk, Virginia; you and PeerLS consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenient forum.

Nothing in this section limits either party's right to seek equitable relief in any competent jurisdiction.
