PeerLS Terms of Service (TOS)

1. Acceptance of Terms

Welcome to PeerLS, a peer-to-peer technology platform designed to empower users in completing real estate transactions independently. By accessing or using PeerLS's services, website, or applications (collectively, the "Platform"), you agree to comply with and be legally bound by these Terms of Service ("TOS"). If you disagree with any part of these terms, please do not access or use our Platform.

2. Description of Services

PeerLS provides an online technology platform enabling peer-to-peer interactions to facilitate independent real estate transactions. PeerLS is not a real estate broker, agent, or brokerage, nor does it perform any activities requiring real estate licensure. All information provided on our Platform is for educational, informational, and facilitative purposes only. PeerLS does not replace professional legal, financial, or real estate advice, and users are encouraged to seek qualified professionals when necessary.

3. User Eligibility and Account Creation

Users must be at least 18 years old and legally capable of entering into binding agreements. Users are responsible for maintaining the confidentiality of account details and accept responsibility for all activities occurring under their accounts.

4. Limitations of Services

PeerLS explicitly states that it:

  • Does not act as a broker or agent.
  • Does not engage in negotiations or offer legal or financial advice.
  • Does not guarantee or warrant the accuracy of listings or user-generated content.

5. User Responsibilities

Users agree to:

  • Provide accurate, complete, and current information.
  • Independently verify all information relevant to real estate transactions.
  • Engage appropriate professional advice (legal, financial, or otherwise) when necessary.
  • Use the Platform strictly for lawful purposes.

6. Fees and Financial Relationships

PeerLS collects a transaction fee upon successful closing of real estate transactions facilitated through the Platform. Additionally, PeerLS may collect ancillary fees from third-party service providers for services offered on the Platform. Some services or offerings may involve joint venture contracts or other agreements that provide PeerLS with financial gains.

7. Intellectual Property Rights

All intellectual property on the Platform, including text, software, graphics, images, logos, trademarks, and patents, belongs exclusively to PeerLS or its licensors and may not be used without express written consent.

8. User-Generated Content

Users retain rights to content they submit or upload but grant PeerLS a royalty-free, perpetual, irrevocable, and sublicensable license to use, modify, display, distribute, and reproduce such content in connection with the Platform.

9. Prohibited Activities

Users agree not to:

  • Misrepresent their identity or qualifications.
  • Engage in fraud or deceptive practices.
  • Disrupt or interfere with the Platform's security or operation.
  • Violate applicable laws and regulations.

10. Disclaimer of Warranties and Liability

PeerLS provides the Platform "as is" without warranties of any kind, either expressed or implied. PeerLS shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from the use of, or inability to use, the Platform.

11. Indemnification

Users agree to indemnify, defend, and hold harmless PeerLS, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from or connected to user activities, content, or breaches of these terms.

12. Termination of Services

PeerLS reserves the right to suspend or terminate user access without notice for any breach of these terms or misuse of the Platform.

13. Changes to the Terms

PeerLS reserves the right to update these Terms of Service periodically. Continued use of the Platform after any changes constitutes acceptance of the new terms.

14. Governing Law and Jurisdiction
